ERANOS General Sales Conditions

Article 1 - Organization of internships
Intra: specific organization for a group of employees of the client company on its premises or in a location defined in consultation with the customer.
Inter: organization of a catalog training bringing together several participants from different companies in the premises of one of them or in premises rented for this purpose.

Article 2 - Registration
Registration is to be done via the attached registration form and sent to alain.ruffion@hotmail.fr 15 days before the start of the training. If you entrust your training budget to a managing organization, please inform us as soon as you order to avoid any billing errors. A commercial and financial proposal will be drawn up beforehand by one of the representatives of The ERANOS Institute represented by Alain Ruffion.
A deposit of 50% will be paid by the Customer upon signature of the order. The supplement is due upon receipt of the various invoices issued as the training courses progress. In the event of full non-payment of an invoice that has come due, after a formal notice that has remained without effect within 5 working days, The ERANOS Institute reserves the right to suspend any current and/or future training.

Article 3 - Convention
ERANOS establishes a training agreement and/or an individual training protocol. Registration is final upon receipt of a copy signed by the company.

Article 4 - Pricing
The price of the internships corresponds to those appearing on our current commercial materials or on our proposals whose validity is 1 month. The costs of transport, accommodation and catering for trainees are not included. The prices indicated are “net of tax”. We are not subject to VAT.

Article 5 - “Inter-company” training
Financial conditions
Acceptance of The ERANOS Institute being subject to the payment of 100% of the invoice before the training, and we expressly reserve the right to freely dispose of the places selected by the Customer, as long as the registration fees have not been covered under the conditions provided for below.

Article 6 - Invoicing
Invoices and agreements are issued upon registration. The prices of the courses are indicated in the catalog. Meals are not included in the course price.

Article 7 - Opening of a training session
The institute ERANOS reserves the right to postpone a training session without compensation, at the latest one week before the scheduled date, for educational or health reasons.

Article 8 - Financial conditions
Invoicing:
These terms and conditions are applicable for training activities that may or may not fall under Part 6, Book III, of the Labour Code. Except for special conditions agreed prior to the order and indicated on our proposal, the billing procedures will be as follows:
In the case of setting up a payment agreement with a Competence Operator (OPCO), a copy of the agreement to take charge of the action must be attached to the order. The billing will be issued directly to the OPCO concerned, according to the conditions and in the amount of the amount covered by the latter.
The balance, exceeding the amount covered by the OPCO, will be invoiced to the Customer as soon as the training action is over.
In the event of an abandonment of total or partial coverage by the OPCO (cancellation one week before the start of the training by the Customer for example), the invoice will then be sent directly to the Customer.
Payment method:
By bank transfer 30 days to date. In accordance with the LME law (Economic Modernization Law No. 2008-776), in case of non-compliance with the payment deadline, we will apply a penalty rate according to the rate in force. In the event of non-payment of the internship costs by the OPCO, the conditions of sale will apply to the Customer and the Customer undertakes to pay all the invoices concerned.Acceptance of our offers implies adherence to our general conditions of sale and payment, which prevail over all conditions of purchase, without written and express derogation on our part. No discount will be granted in the case of early payment.
ATTENTION: It is your responsibility to check the accountability of your internship with your OPCO, to make your request for coverage before the training and to have the corresponding amounts reimbursed. If the Customer wishes the payment to be issued by the OPCO on which he depends, it is his responsibility to make a request for coverage before the start of the training and to ensure the successful completion of this request. It is also up to the customer to explicitly indicate this on their registration form.

Article 9 - Convocation/Agreement
After receiving your order, we will send you:
A bilateral internship agreement in duplicate, one of which must be returned to us signed before the start of the course and accompanied by the list of participants, a summons on behalf of the participant (s), an access map to the defined location and a list of hotels if you specify your intention to sleep on site at the time of registration.

Article 10 - Replacement of a participant
The institute ERANOS offers the Customer the possibility of replacing a participant without additional billing until the opening of the training session concerned. Any request for replacement must be sent in writing.

Article 11 - Content of the services
Facilitation of the training by the trainer, use by the trainees of our educational equipment.
Dematerialization of supports
As part of a commitment by The ERANOS Institute for the environment, the materials provided for the training sessions are dematerialized materials.

Article 12 - Documents governing the parties' agreement
The documents governing the parties' agreement are, to the exclusion of all others, in descending order of priority:
The Internal Training Rules adopted pursuant to articles L.6352-3 to L.6352-5 and R.6352-3 to R.6352-15 of the Labour Code relating to the rights and obligations of trainees during training sessions, and to the discipline and guarantees attached to the implementation of training courses,

Any specifications submitted by the Customer to the Service Provider,
All other appendices. In the event of a contradiction between one of these documents, the one with the highest priority will prevail for the interpretation in question.
The provisions of the general conditions and the documents mentioned above express the entirety of the agreement concluded between the parties. These provisions therefore take precedence over any proposal, exchange of letters, notes or e-mails prior to its signature, as well as over any other provision contained in documents exchanged between the parties and relating to the subject of the contract.

Article 13 - Postponement of an Inter internship
The ERANOS Institute reserves the right to postpone an inter-company internship, if the number of participants is insufficient to allow its pedagogical conduct. The ERANOS Institute will inform the customer as soon as possible and will then suggest new dates.

Article 14 - Conditions for the cancellation of training courses by the customer
Any cancellation by the Customer must be communicated in writing.
- For Inter-company Internships:
- For any cancellation communicated by the Customer less than 8 calendar days before the training session, 50% of the training amount will be invoiced by The ERANOS Institute to the latter.
- For any cancellation communicated by the Customer less than 5 calendar days before the training session, 100% of the training amount will be invoiced by The ERANOS Institute to the latter. Any coverage by the OPCA becoming obsolete.
- For intra-company training:
- For any cancellation communicated by the Customer less than 8 calendar days before the training session, 50% of the training amount will be invoiced by The ERANOS Institute to the latter.
- For any cancellation communicated by the Customer less than 5 calendar days before the training session, 100% of the training amount will be invoiced by The ERANOS Institute to the latter. Any coverage by the OPCA becoming obsolete. If participants do not show up for a training session or drop out during the course, the invoice will be drawn up and must be paid as if the participants had attended the entire session.

Article 15 - Non-performance of the training service
In application of article L.6354-1 of the Labor Code, it is agreed between the signatories of this agreement that in the absence of total or partial completion of the training service, the provider organization must reimburse the contracting party for the amounts unduly received as a result.

Copyright and reproduction rights
The total or partial copy, transmission, exploitation and distribution to a third party of the educational materials or software made available by The ERANOS Institute are forbidden. Unless otherwise agreed by The ERANOS Institute. Any violation of this rule may be the subject of proceedings leading to a claim for damages.

Intellectual property
Each party undertakes to consider all technical, educational, didactic, educational, educational, educational, documentary, financial, commercial and/or legal information, any know-how relating to studies, reports, products or developments, plans, models etc... that will be given to it by another party as being the industrial and/or intellectual property of that party and therefore to use it only in the context of the execution of this agreement.
This information may not be communicated or made accessible to third parties, in whole or in part, without the prior written approval of its owner.
The parties will not oppose any of their industrial and/or intellectual property rights belonging to them that would prevent the implementation of the order.

Conditions for success:
The courses are given in French and the trainees must be proficient in speaking and writing. Specific requirements are specified in the catalog product sheet. They condition the smooth running and the achievement of the objectives of the internship.

Safety requirement and protection against accidents:
In the case of an Inter course, participants will be required to comply with safety regulations and internal regulations. They will be informed at the beginning of the session.

Information technology and freedoms
The Customer is informed that the personal information that is communicated to The ERANOS Institute in application and in the execution of orders and/or sales may be communicated to the contractual partners of The ERANOS Institute for the purposes of these orders. In accordance with law No. 78-17 of January 6, 1978, known as the Data Protection Act, updated by the law of August 6, 2004, the Customer has the right to access, rectify and oppose personal data concerning him. This right can be exercised by making a request by email or by letter sent to The ERANOS Institute.

Competent court:
In the absence of an amicable resolution, any dispute will be brought before the Commercial Court of Nice.
